Kaufman Hall Advises Trinity Health and Saint Francis Care on Expansion of Health System in New England

This past Friday, Saint Mary's Health System (SMHS) in Waterbury, Conn., signed a definitive agreement with Trinity Health and Saint Francis Care to become part of the health system’s growing network of hospitals in the New England region. Kaufman Hall is serving as strategic and financial advisor to Trinity and Saint Francis on the planned partnership. 

The agreement with Saint Mary's was signed just before Saint Francis officially joins with Trinity, a decision announced in December 2014 and expected to be finalized in October. Kaufman Hall has advised Saint Francis on that transaction as well, drawing on the firm’s deep understanding of the Catholic health landscape in the U.S.

Following the completion of all necessary regulatory approvals, Trinity Health, Saint Mary's, Saint Francis Care, along with Sisters of Providence Health System in Springfield, MA, plan to build a clinically integrated healthcare delivery system with the goal of delivering high quality care and value to residents across Connecticut and western Massachusetts.

The New England region and its members will benefit from Trinity Health services that provide operational expertise, as well as existing programs related to clinical excellence, population health, retail health care, and information technology. Trinity Health benefits as well, with the opportunity to continue expanding its presence in New England through both strategic and organic growth opportunities.

Kaufman Hall has provided operational, strategic, and financial expertise to assist Saint Francis in analyzing the potential strategic partnership with SMHS. Kaufman Hall also assisted Saint Francis and Trinity with transactional aspects of the partnership, including reviewing various partnership structures and terms, creating response to Saint Mary’s RFP, evaluating the financial and strategic merits of the transaction, and assisting with the negotiation of a definitive agreement.
