Kaufman Hall Advises The Everett Clinic on Merger With DaVita Healthcare Partners
Kaufman Hall served as the exclusive strategic advisor to The Everett Clinic on the transaction
SKOKIE, Ill. – March 2, 2016 – Earlier this week, The Everett Clinic (TEC), a nationally recognized physician group based near Seattle, completed its merger with DaVita HealthCare Partners (NYSE: DVA), one of the leading independent medical groups in America. Kaufman Hall served as the exclusive strategic advisor to TEC on the transaction.
The merger supports the organization’s goal to grow its influence over the role of ambulatory care in the region as it moves rapidly toward a value-based care model.

“Our goals have always been both to transform care for our patients and to create a workplace that makes staff and providers feel excited about coming to work each day,” said Rick Cooper, CEO of The Everett Clinic, in a December 21 press release announcing the two parties’ intent to merge. “We believe we have found the partner that will help make our vision a reality.”
TEC operates 20 care sites in Everett, WA treating more than 315,000 patients and employing roughly 2,200 teammates, including more than 500 specialty and primary care providers. It serves patients through traditional doctor’s offices, urgent care, lab services, imaging, hearing and vision centers, behavioral health, and cancer treatment.
Kaufman Hall was initially engaged to assess the organization’s strategic options in the context of its partnership objectives and five-year business plan, including the option to continue as an independent physician group. Once merging with another organization was determined to be the optimal path forward, Kaufman Hall’s partnership experts led the transaction process to maximize TEC’s options and ensure its transaction goals and objectives were achieved.
The Kaufman Hall team identified a select group of potential partners, led the transaction’s overall planning and timing, contacted the potential partners, received and analyzed proposals, helped conduct site visits and interviews, coordinated all potential partner presentations, drafted and negotiated the term sheet on behalf of the Clinic, and assisted in coordinating due diligence and negotiating the Agreement and Plan of Merger between TEC and DaVita
