Kaufman Hall Advised Home Staff on Sale to Amedisys

SKOKIE, Ill. – May 3, 2016 – Home Staff (“Home Staff” or the “Agency”) is a private duty home health agency that provides personal care home health services through home health aides, nursing assistants, and homemakers. The Agency has been jointly owned by Fallon Health and VNA Care (the “Joint Venture Partners”), and is headquartered in Worcester, Mass., with branch offices located in Springfield, Mass., and Needham, Mass., outside of Boston.

The Joint Venture Partners concluded that the community would be better served by finding a strategic partner to assume ownership and operations of the Agency. Kaufman Hall was retained as the financial advisor to assist the Joint Venture Partners, providing strategic advice and analysis on the organizations’ options. Ultimately, through close direction from Home Staff’s Board, Kaufman Hall recommended a controlled partnership process based on current and projected market factors relative to home health service providers.

Kaufman Hall worked with the Board of Home Staff and the Joint Venture Partners throughout the process to identify the optimal partner. Associated Home Care, a subsidiary of Amedisys, was selected. Amedisys purchased substantially all assets of Home Staff, which will be integrated into the operations of Amedisys’ personal care subsidiary, Associated Home Care. The transaction closed on February 1, 2017.

Associated Home Care, a leading personal care agency in Greater Boston, was acquired by Amedisys in March of 2016. In August, Amedisys acquired Professional Profiles, a private-duty home healthcare agency based in Danvers, Mass. Home Staff will be the third acquisition by Amedisys or its subsidiaries in Massachusetts since the company renewed its acquisition strategy in 2015.
